1. OBJET

L’application « CityGem » (ci-après : l’Application ») propose à ses utilisateurs (ci-après : les « Utilisateurs ») des parcours de balade, (ci-après ensemble : les « Parcours ») au sein de villes ou de lieux spécifiques dans le monde.

Les présentes conditions générales ont pour objet de définir les modalités et conditions d’utilisation des services proposés sur l’Application (ci-après : les « Services ») ainsi que de définir les droits et obligations des parties dans ce cadre.

Elles sont accessibles et imprimables à tout moment par un lien direct en bas de page de l’Application.

Elles peuvent être complétées le cas échéant par des conditions d’utilisation particulières à certains Services, lesquelles complètent les présentes conditions générales et, en cas de contradiction, prévalent sur ces dernières.

2. EXPLOITANT DE L’APPLICATION ET DES SERVICES, CONTACT

L’Application et les Services sont exploités par la société CITYGEM, société par actions simplifiée, immatriculée au RCS d’Orléans sous le n° 902 633 189, dont le siège social est situé 1 Av Du Champ De Mars, 45074 Orleans Cedex 2 (ci-après : « CITYGEM »).

3. ACCÈS A L’APPLICATION ET AUX SERVICES

3.1. Capacité juridique

L’Application et les Services sont accessibles :
– A toute personne physique disposant de la pleine capacité juridique pour s’engager au titre des présentes conditions générales. La personne physique qui ne dispose pas de la pleine capacité juridique ne peut accéder à l’Application et aux Services qu’avec l’accord de son représentant légal.
– A toute personne morale agissant par l’intermédiaire d’une personne physique disposant de la capacité juridique pour contracter au nom et pour le compte de la personne morale.

3.2. Site et services réservés aux particuliers

L’Application et les Services s’adressent exclusivement aux particuliers et ne sont pas destinés à un usage professionnel, entendu comme tout usage lié directement ou indirectement à une activité rémunérée exercée de façon non occasionnelle dans tous les secteurs d’activité de l’industrie et du commerce.

4. ACCEPTATION DES CONDITIONS GÉNÉRALES

4.1.L’acceptation des présentes conditions générales par les Utilisateurs qui s’inscrivent sur l’Application est matérialisée en cliquant sur la case j’accepte lors de la première connexion à l’Application.

S’agissant des Utilisateurs non-inscrits sur l’Application, leur utilisation de celui-ci et/ou des Services entraîne leur acceptation des présentes conditions générales, sans restriction ni réserve.

4.2.L’acceptation des présentes conditions générales ne peut être que pleine et entière. Toute adhésion sous réserve est considérée comme nulle et non avenue. L’Utilisateur qui n’accepte pas d’être lié par les présentes conditions générales ne doit pas accéder à l’Application ni utiliser les Services.

5. INSCRIPTION SUR L’APPLICATION

5.1. L’utilisation des Services nécessite que l’Utilisateur s’inscrive sur l’Application, en remplissant le formulaire prévu à cet effet. L’Utilisateur doit fournir l’ensemble des informations marquées comme obligatoires. Toute inscription incomplète ne sera pas validée.

L’inscription entraîne automatiquement l’ouverture d’un compte au nom de l’Utilisateur (ci-après : le « Compte »), lui donnant accès à un espace personnel (ci-après : l’« Espace Personnel ») qui lui permet de gérer son utilisation des Services sous une forme et selon les moyens techniques que CITYGEM juge les plus appropriés pour rendre lesdits Services.

L’Utilisateur garantit que toutes les informations qu’il donne dans le formulaire d’inscription sont exactes, à jour et sincères et ne sont entachées d’aucun caractère trompeur.

Il s’engage à mettre à jour ces informations dans son Espace Personnel en cas de modifications, afin qu’elles correspondent toujours aux critères susvisés.

L’Utilisateur est informé et accepte que les informations saisies aux fins de création ou de mise à jour de son Compte vaillent preuve de son identité. Les informations saisies par l’Utilisateur l’engagent dès leur validation.

5.2.L’Utilisateur peut accéder à tout moment à son Espace Personnel après s’être identifié à l’aide de son identifiant de connexion ainsi que de son mot de passe.

L’Utilisateur s’engage à utiliser personnellement les Services et à ne permettre à aucun tiers de les utiliser à sa place ou pour son compte, sauf à en supporter l’entière responsabilité.

Il est pareillement responsable du maintien de la confidentialité de son identifiant et de son mot de passe, tout accès à l’Application à l’aide de ces derniers étant réputée effectuée par l’Utilisateur. Celui-ci doit immédiatement contacter CITYGEM aux coordonnées mentionnées à l’article « Exploitant de l’Application et des Services, contact » des présentes s’il remarque que son Compte a été utilisé à son insu. Il reconnaît à CITYGEM le droit de prendre toutes mesures appropriées en pareil cas.

6. DESCRIPTION DES SERVICES

L’Utilisateur a accès aux Services qui suivent, sous une forme et selon les fonctionnalités et moyens techniques que CITYGEM juge les plus appropriés.

6.1. Parcours

L’Utilisateur bénéficie de l’accès aux Parcours parmi ceux qui sont proposés sur l’Application.

L’Utilisateur aura ainsi accès au tracé GPS du Parcours ainsi qu’aux informations géolocalisées sur le Parcours connues au moment du téléchargement (points d’intérêts, contenus descriptifs sur ces points d’intérêts, photos, etc.).

L’application CITYGEM continuera de récupérer la positon de l’Utilisateur même si elle est fermée lorsqu’il aura lancé un parcours.

L’Utilisateur pourra partager ses commentaires et appréciations sur les Parcours via les réseaux sociaux et pourra évaluer le Parcours qu’il a réalisé directement sur l’Application.

6.2. Contenu créé par l’Utilisateur

L’application CITYGEM met à la disposition de l’Utilisateur une fonctionnalité par laquelle il peut proposer d’enrichir l’Application CITYGEM à partir de contenu qu’il soumet à CITYGEM (création d’un point d’intérêt, ajout de photos à un point d’intérêt, ajout d’information concernant un point d’intérêt et les sources de celle-ci etc.) (ci-après désignés les « Contenus suggérés »).

Une fois que l’Utilisateur aura proposé un Contenu Suggéré, ce dernier sera vérifié par CITYGEM qui pourra, à sa seule discrétion et sans avoir à justifier d’un quelconque motif, (i) refuser de mettre en ligne le Contenu Suggéré, (ii) modifier le Contenu Suggéré, (iii) mettre en ligne le Contenu Suggéré, avec ou sans modification, en en restreignant l’accessibilité à une partie des utilisateurs, aux autres Utilisateurs et, (iv) mettre en ligne le Contenu Suggéré, avec ou sans modification, sans restriction d’accessibilité.

A ce titre, l’Utilisateur s’engage à ce qu’il soit le seul auteur de toute photographie soumise à CITYGEM en tant que Contenu Suggéré. Il est précisé que dans l’hypothèse où CITYGEM mettrait en ligne le Contenu Suggéré sans restriction d’accessibilité, l’Utilisateur pourra bénéficier d’avantages, au sein de l’Application CITYGEM.

En proposant l’ajout d’un Contenu Suggéré, l’Utilisateur concède une licence des droits d’auteur sur ce contenu à CITYGEM dans les conditions prévues à l’article 14.2.

6.3. Autres services

CITYGEM se réserve la possibilité de proposer tout autre Service qu’elle jugera utile, sous une forme et selon les fonctionnalités et moyens techniques qu’elle estimera les plus appropriés pour rendre lesdits Services.

7. COÛT DES SERVICES

Afin d’accéder aux caractéristiques et fonctionnalités marquées comme Premium (“Couronne dorée »), les utilisateurs doivent payer des frais d’abonnement. Les frais d’abonnement, ainsi que les taxes associées, doivent être payés à l’avance sur une base mensuelle, annuelle ou à vie.

L’abonnement « A vie » est valable pour le contenu et les fonctionnalités existantes à la date d’achat. CityGem se réserve le droit d’apporter une modification au prix.

CityGem se réserve le droit d’augmenter les frais d’abonnement ou d’instituer de nouveaux frais à tout moment moyennant un préavis raisonnable.

7.1 Renouvellement

Les frais d’abonnement seront facturés automatiquement au début de la période. Ces frais seront renouvelés automatiquement jusqu’à ce que votre abonnement soit annulé ou résilié. Vos frais d’abonnement seront les mêmes que vos frais initiaux, sauf si vous en êtes informé à l’avance.

7.2 Annulation ou résiliation

Vous pouvez annuler votre abonnement à tout moment en utilisant le processus d’abonnement de l’App Store ou du Google Play Store dans votre profil iOS ou Android. L’annulation d’un abonnement prendra effet à la fin de votre cycle de facturation actuel. À la fin de votre abonnement, votre compte redeviendra un abonnement gratuit. Vous pouvez renouveler votre abonnement à tout moment sans ouvrir un nouveau compte, bien que les frais d’abonnement aient pu augmenter. Vous pouvez supprimer votre compte à tout moment.

7.3 Essais gratuits

Votre abonnement peut commencer par une période d’essai gratuite. La période d’essai gratuite de tout abonnement durera le temps indiqué lors de votre inscription. Les essais gratuits ne peuvent être combinés avec certaines autres offres, comme indiqué. Si vous commencez votre abonnement par un essai gratuit, nous commencerons à facturer les frais d’abonnement à votre mode de paiement à la fin de la période d’essai gratuit de votre abonnement, sauf si vous annulez votre abonnement avant la fin de la période d’essai gratuit. Votre Mode de paiement sera autorisé pour un maximum d’environ un mois de service dès que vous vous inscrirez à un essai gratuit. Dans certains cas, votre solde disponible ou votre limite de crédit peut être réduit pour refléter l’autorisation ; toutefois, aucun débit ne sera effectué sur le moyen de paiement, sauf si vous n’annulez pas votre abonnement avant la fin de la période d’essai gratuite. Vous pouvez annuler votre abonnement à tout moment en vous rendant sur votre page « account settings ».

7.4 Méthodes de paiement

Les abonnements peuvent être payés directement via l’App Store ou le Google Play Store.

Si vous avez payé par le biais de l’App Store ou du Google Play Store, vous pouvez modifier votre mode de paiement par le biais du compte du magasin correspondant. Aucun remboursement ou crédit ne sera accordé par CityGem, en dehors de ce qui est prévu dans les présentes Conditions. Si votre magasin détermine qu’il y a des charges frauduleuses sur votre compte résultant de l’utilisation de votre Mode de paiement aux Services, vous serez remboursé directement par le magasin.

8. CONVENTION DE PREUVE

L’Utilisateur reconnaît et accepte expressément :

(i) que les données recueillies sur l’Application et les équipements informatiques de CITYGEM font foi de la réalité des opérations intervenues dans le cadre des présentes,
(ii) que ces données constituent le principal mode de preuve admis entre les parties, notamment pour le calcul des sommes dues à CITYGEM. L’Utilisateur peut accéder à ces données dans son Espace Personnel.

9. OBLIGATIONS DE L’UTILISATEUR

Sans préjudice des autres obligations prévues aux présentes, l’Utilisateur s’engage à respecter les obligations qui suivent.

9.1. L’Utilisateur s’engage, dans son usage des Services, à respecter les lois et règlements en vigueur, notamment le Code la route, et à ne pas porter atteinte aux droits de tiers ou à l’ordre public.

Il est seul responsable du bon accomplissement de toutes les formalités notamment administratives, fiscales et/ ou sociales et de tous les paiements de cotisations, taxes ou impôts de toutes natures qui lui incombent le cas échéant en relation avec son utilisation des Services. La responsabilité de CITYGEM ne pourra en aucun cas être engagée à ce titre.

9.2. L’Utilisateur reconnaît avoir pris connaissance sur l’Applications des caractéristiques et contraintes, notamment techniques, de l’ensemble des Services. Il est seul responsable de son utilisation des Services.

9.3. L’Utilisateur s’engage également à :

– utiliser l’Application avec prudence et discernement. L’Utilisateur est seul responsable de sa sécurité lorsqu’il suit un Parcours. Lorsqu’il circule avec un véhicule, de bien respecté les règles en vigueurs et le code de la route, et notamment les règles concernant l’utilisation des casques audio et oreillettes.
-lorsqu’il effectue un parcours à pied il est recommandé́ de toujours circuler sur les trottoirs ou zones accessibles aux piétons et non pas sur les rues ou routes empruntées par les véhicules motorisés, même lorsque l’Application indique d’emprunter un tel parcours ;
– ne pas se mettre en danger ni à mettre en danger autrui et avoir conscience des divers risques liés à la circulation pédestre ou véhiculée en milieu urbain ;
– s’assurer d’avoir les capacités physiques suffisantes pour réaliser le Parcours ;
– ne pas faire un usage professionnel ou commercial de l’Application et/ou de ses contenus;
– ne pas fournir de fausses données lors de son inscription ;
– faire part à CITYGEM de toute erreur dont il aurait connaissance ainsi que de tout commentaire relatif aux Parcours, en vue de la mise à jour des Parcours et/ou de l’amélioration de l’Application.

9.4. L’Utilisateur s’engage à faire un usage strictement personnel des Services. Il s’interdit en conséquence de céder, concéder ou transférer tout ou partie de ses droits ou obligations au titre des présentes à un tiers, de quelque manière que ce soit.

L’Utilisateur reconnait que du fait notamment d’événement imprévisibles et extérieurs à CITYGEM (notamment accidents de la route, travaux, conditions météorologiques, dégradations, etc.), les informations et données contenues dans l’Application peuvent se révéler inexactes ou obsolètes et que les conditions d’accessibilité des Parcours peuvent changer en raison desdits évènements. CITYGEM ne garantit, en aucun cas, la protection de l’Utilisateur contre tous les dangers liés au milieu urbain. La responsabilité de CITYGEM ne pourra en aucun cas être engagée en cas d’accident survenu sur les Parcours proposés.

9.5. Les informations relatives à la durée estimée et au temps restant sur le Parcours ne peuvent être calculées avec exactitude dans la mesure où elles dépendent nécessairement du comportement de l’Utilisateur. Compte tenu de ces contraintes, l’Utilisateur reconnaît que les données et informations fournies par CITYGEM dans le cadre de l’Application le sont à titre indicatif et accepte que la responsabilité de CITYGEM ne puisse être engagée du fait de l’inexactitude ou de l’imprécision de certaines données ou informations.

9.6. L’Application est un outil d’aide à l’orientation et aux exercices mais ne peut en aucun cas se substituer au jugement de l’Utilisateur qui en fonction du contexte réel doit apprécier lui-même l’opportunité de ne pas suivre des recommandations, le Parcours suggéré par l’Application et/ou les équipements recommandés. CITYGEM n’a aucune maîtrise sur le comportement de l’Utilisateur et ne peut donc voir sa responsabilité engagée de ce fait.

9.7. L’Utilisateur déclare comprendre les limites liées au système GPS. Les transmissions et réceptions peuvent être limitées par :

– le fonctionnement des systèmes satellitaires et des stations terrestres ;

– le fonctionnement du smartphone de l’Utilisateur ;
-les conditions météorologiques et atmosphériques, les interférences environnementales et magnétiques ;
– la qualité du smartphone et/ou de sa fonctionnalité GPS.

L’Utilisateur reconnait que le signal GPS est précis à plus ou moins 10 (dix) mètres et qu’il est de sa responsabilité d’apprécier les conséquences et risques éventuels de cette contrainte technique.

L’application CityGem continuera de récupérer la positon de l’Utilisateur même si elle est fermée lorsqu’il aura lancé un parcours.

9.8. L’Utilisateur s’engage à fournir à CITYGEM toutes les informations nécessaires à la bonne exécution des Services. Plus généralement l’Utilisateur s’engage à coopérer activement avec CITYGEM en vue de la bonne exécution des présentes.

9.9. L’Utilisateur est seul responsable des contenus de toute nature (rédactionnels, graphiques, audios, audiovisuels ou autres, en ce compris la dénomination choisie par l’Utilisateur pour l’identifier sur l’Application) qu’il diffuse dans le cadre des Services (ci-après désignés : les « Contenus »).

Il garantit à CITYGEM qu’il dispose de tous les droits et autorisations nécessaires à la diffusion de ces Contenus.

Il s’engage à ce que les dits Contenus soient licites, ne portent pas atteinte à l’ordre public, aux bonnes mœurs ou aux droits de tiers, n’enfreignent aucune disposition législative ou règlementaire et plus généralement, ne soient aucunement susceptibles de mettre en jeu la responsabilité civile ou pénale de CITYGEM.

L’Utilisateur s’interdit ainsi de diffuser, notamment et sans que cette liste soit exhaustive :

– des Contenus pornographiques, obscènes, indécents, choquants ou inadaptés à un public familial, diffamatoires, injurieux, violents, racistes, xénophobes, homophobes, révisionnistes ou incitant à la haine,

– des Contenus contrefaisants,
– des Contenus attentatoires à l’image d’un tiers,
– des Contenus mensongers, trompeurs ou proposant ou promouvant des activités illicites, frauduleuses ou trompeuses, terroristes,
– des Contenus nuisibles aux systèmes informatiques de tiers (tels que virus, vers, chevaux de Troie, etc.),
– et plus généralement des Contenus susceptibles de porter atteinte aux droits de tiers ou d’être préjudiciables à des ,ers, de quelque manière et sous quelque forme que ce soit.

9.10. L’Utilisateur reconnaît que les Services lui offrent une solution supplémentaire, non alternative, de réalisation de parcours de balade et que cette solution ne saurait se substituer aux autres moyens dont l’Utilisateur peut disposer par ailleurs pour atteindre le même objectif.

9.11. L’Utilisateur est informé et accepte que la mise en œuvre des Services nécessite qu’il soit connecté à internet ou à un réseau d’opérateur télécom mobile et que la qualité des Services dépend directement de cette connexion, dont il est seul responsable.

10. GARANTIE DE L’UTILISATEUR

L’Utilisateur garantit CITYGEM contre toutes plaintes, réclamations, actions et/ou revendications quelconques que CITYGEM pourrait subir du fait de la violation, par l’Utilisateur de l’une quelconque de ses obligations ou garanties aux termes des présentes conditions générales.

Il s’engage à indemniser CITYGEM de tout préjudice qu’elle subirait et à lui rembourser tous les frais, charges, indemnités transactionnelles et/ou condamnations qu’elle pourrait avoir à supporter de ce fait.

En particulier et sauf pour ce qui concerne les textes descriptifs de points d’intérêts soumis par l’Utilisateur en tant Contenus Suggérés dont il aura communiqué la source à CITYGEM, l’Utilisateur garantit détenir tous les droits et autorisations nécessaires et suffisants sur les Contenus Suggérés pour accorder à CITYGEM la licence prévue à l’article 14.2 ci-dessous et que, plus généralement, les Contenus Suggérés sont licites et ne contreviennent à aucun droit de tiers. Il s’engage ainsi à indemniser CITYGEM en cas de manquement à la garantie précitée, dans les conditions énoncées ci-dessus.

11. COMPORTEMENTS PROHIBÉS

11.1. Il est strictement interdit d’utiliser les Services aux fins suivantes :

– l’exercice d’activités illégales, frauduleuses ou portant atteinte aux droits ou à la sécurité des tiers,

– l’atteinte à l’ordre public ou la violation des lois et règlements en vigueur,

– l’intrusion dans le système informatique d’un tiers ou toute activité de nature à nuire, contrôler, interférer, ou intercepter tout ou partie du système informatique d’un tiers, en violer l’intégrité ou la sécurité,

– l’envoi d’emails non sollicités et/ou de prospection ou sollicitation commerciale,

– les manipulations destinées à améliorer le référencement d’un site tiers,

– l’utilisation de l’Application pour diffuser des informations ou liens redirigeant sur un site tiers,

– l’aide ou l’incitation, sous quelque forme et de quelque manière que ce soit, à un ou plusieurs des actes et activités décrits ci-dessus,

– et plus généralement toute pratique détournant les Services à des fins autres que celles pour lesquelles ils ont été conçus.

11.2. Il est strictement interdit aux Utilisateurs de copier et/ou de détourner à leurs fins ou à celles de tiers le concept, les technologies, tout ou partie des données, des textes, des enregistrements voix, des photos, des vidéos ou tout autre élément de l’Application CITYGEM.

11.3. Sont également strictement interdits :

(i) tous comportements de nature à interrompre, suspendre, ralentir ou empêcher la continuité des Services, (ii) toutes intrusions ou tentatives d’intrusions dans les systèmes de CITYGEM, (iii) tous détournements des ressources système de l’Application, (iv) toutes actions de nature à imposer une charge disproportionnée sur les infrastructures de ce dernier, (v) toutes atteintes aux mesures de sécurité et d’authentification, (vi) tous actes de nature à porter atteinte aux droits et intérêts financiers, commerciaux ou moraux de CITYGEM ou des usagers de son Application, et enfin plus généralement (vii) tout manquement aux présentes conditions générales.

11.4. Il est strictement interdit de monnayer, vendre ou concéder tout ou partie de l’accès aux Services ou à l’Application, ainsi qu’aux informations qui y sont hébergées et/ou partagées.

12. SANCTIONS DES MANQUEMENTS

En cas de manquement à l’une quelconque des dispositions des présentes conditions générales ou plus généralement, d’infraction aux lois et règlements en vigueur par un Utilisateur, CITYGEM se réserve le droit de prendre toute mesure appropriée et notamment de :

(i) suspendre ou supprimer l’accès aux Services de l’Utilisateur, auteur du manquement ou de l’infraction, ou y ayant participé,
(ii) supprimer tout contenu mis en ligne sur l’Application,
(iii) publier sur l’Application tout message d’information que CITYGEM jugera utile,

(iv) avertir toute autorité concernée,

(v) engager toute action judiciaire.

13. RESPONSABILITÉ ET GARANTIE DE CITYGEM

13.1. CITYGEM s’engage à fournir les Services avec diligence et selon les règles de l’art, étant précisé qu’il pèse sur elle une obligation de moyens, à l’exclusion de toute obligation de résultat, ce que les Utilisateurs reconnaissent et acceptent expressément.

13.2. CITYGEM n’a pas connaissance des Contenus mis en ligne par les Utilisateurs dans le cadre des Services, sur lesquels elle n’effectue aucune modération, sélection, vérification ou contrôle d’aucune sorte et à l’égard desquels elle n’intervient qu’en tant que prestataire d’hébergement.

En conséquence, CITYGEM ne peut être tenue pour responsable des Contenus, dont les auteurs sont des tiers, toute réclamation éventuelle devant être dirigée en premier lieu vers l’auteur des Contenus en question.

Les Contenus préjudiciables à un tiers peuvent faire l’objet d’une notification à CITYGEM selon les modalités prévues par l’article 6 I 5 de la loi n°2004-575 du 21 juin 2004 pour la confiance dans l’économie numérique, CITYGEM se réservant de prendre les mesures décrites à l’article « Sanctions des manquements ».

13.3. CITYGEM décline toute responsabilité en cas de perte éventuelle des informations accessibles dans l’Espace Personnel de l’Utilisateur, celui-ci devant en sauvegarder une copie et ne pouvant prétendre à aucun dédommagement à ce titre.

13.4. CITYGEM s’engage à procéder régulièrement à des contrôles afin de vérifier le fonctionnement et l’accessibilité de l’Application. A ce titre, CITYGEM se réserve la faculté d’interrompre momentanément l’accès à l’Application pour des raisons de maintenance. CITYGEM ne saurait être tenue responsable des difficultés ou impossibilités momentanées d’accès à l’Application qui auraient pour origine des circonstances qui lui sont extérieures, la force majeure, ou encore qui seraient dues à des perturbations des réseaux de télécommunication.

13.5. CITYGEM ne garantit pas aux Utilisateurs (i) que les Services, soumis à une recherche constante pour en améliorer notamment la performance et le progrès, seront totalement exempts d’erreurs, de vices ou défauts, (ii) que les Services, étant standards et nullement proposés à la seule intention d’un Utilisateur donné en fonction de ses propres contraintes personnelles, répondront spécifiquement à ses besoins et attentes.

13.6. En tout état de cause, la responsabilité susceptible d’être encourue par CITYGEM au titre des présentes est expressément limitée aux seuls dommages directs avérés subis par l’Utilisateur.

14. PROPRIÉTÉ INTELLECTUELLE

14.1 Les systèmes, logiciels, structures, infrastructures, bases de données et contenus de toute nature (textes, images, visuels, musiques, enregistrements voix, logos, marques, base de données, etc …) exploités par CITYGEM au sein de l’Application sont protégés par tous droits de propriété intellectuelle ou droits des producteurs de bases de données en vigueur. Tous désassemblages, décompilations, décryptages, extractions, réutilisations, copies et plus généralement, tous actes de reproduction, représentation, diffusion et utilisation de l’un quelconque de ces éléments, en tout ou partie, sans l’autorisation de CITYGEM sont strictement interdits et pourront faire l’objet de poursuites judiciaires.

14.2 En soumettant un Contenu Suggéré par le biais de la fonctionnalité décrite à l’article 6.2 et sous réserve de son acceptation par CITYGEM, l’Utilisateur concède une licence irrévocable, définitive, non exclusive, cessible et sous licenciable, au profit de CITYGEM, sur des droits d’auteur relatifs à ce contenu et énoncés ci-dessous, ce pour le monde entier et toute la durée de protection que le droit applicable à chacun des territoires accorde au Contenu Suggéré, étant précisé, à toute fin utile, que la suppression du compte de l’Utilisateur sur l’Application Citygem ne fera pas cesser la licence consentie au titre du présent article.

Il est précisé que les droits d’auteur ainsi cédés à CITYGEM incluent notamment les droits de :

– reproduire, à titre provisoire et/ou permanent et à toute fin en ce compris pour toute opération de chargement, de numérisation, de sauvegarde, d’affichage, d’exécution, de transmission ou de stockage, le droit de dupliquer, imprimer, enregistrer, et fixer tout ou partie des Contenus Suggérés ;

– établir toute version, en langue française et étrangère, et en tout langage informatique, de tout ou partie des Contenus Suggérés ;

– traduire, arranger, mettre en page, modifier, adapter, transformer tout ou partie des Contenus Suggérés, ainsi que la reproduction de la création en résultant ;

– intégrer tout ou partie des Contenus Suggérés dans toute réalisation seconde ;

– publier, éditer, distribuer, vendre, louer à titre gracieux ou onéreux et donner tout ou partie des Contenus Suggérés ;

– corriger, faire évoluer, adapter, transcrire tout ou Partie des Contenus Suggérés ;

– tester, analyser, décompiler et interfacer tout ou partie des Contenus Suggérés ; et

– représenter, exécuter, projeter et diffuser tout ou partie des Contenus Suggérés, et les communiquer au public, de manière synchrone ou asynchrone, auprès de tout type de public, en ce compris le grand public.

Les droits cédés à CITYGEM portent sur tous supports connus et non encore connus à ce jour, et notamment :

– tous supports papiers (et notamment tout livre, guide de voyage, cartes, articles de papeterie, support publicitaire etc.), pellicules, films, bandes magnétiques, optiques, biologiques, minéraux, analogiques ou numériques (et notamment tout ordinateur, tablette, téléphone mobile, smartphone, serveur, tout disque, carte mémoire, clef USB ou autre support de stockage, serveurs sur site ou distants etc.) ;

– tous supports digitaux, et notamment tous sites internet, réseaux sociaux, intranet ou extranet, plateformes, logiciels, applications mobiles, page web ou assimilable, fichiers de traitement ou de présentation ou de lecture du texte ;

– tous procédés de diffusion (et notamment tout procédé de diffusion terrestre, par satellite, câble, télédiffusion, fibre optique, la voix, audiovisuel, par radio, voie hertzienne, internet, plateforme de partage ou d’hébergement de contenu, par télévision, streaming etc.).

Les droits cédés à la CITYGEM concernent tous les types d’usage des Contenus Suggérés possibles, qu’ils soient à titre onéreux ou gratuits, commerciaux, promotionnels, publicitaires ou caritatifs.

L’Utilisateur reconnait et accepte que la présente licence de ses droits d’auteur ne fera l’objet d’aucune contrepartie financière, la contrepartie de cette cession résidant, pour l’Utilisateur, dans (i) le fait de pouvoir bénéficier de l’amélioration du contenu de l’Application CITYGEM et, le cas échéant, (ii) dans le fait d’être éligible à l’obtention d’avantages, au sein de l’Application CITYGEM.

15. DONNÉES À CARACTÈRE PERSONNEL

CITYGEM pratique une politique de protection des données personnelles dont les caractéristiques sont explicitées dans le document intitulé « Charte relative à la protection des données à caractère personnel », dont l’Utilisateur est expressément invité à prendre connaissance.

16. CONFIDENTIALITÉ

Chaque partie s’engage à garder strictement confidentiels les documents, éléments, données et informations de l’autre partie dont elle serait destinataire qui seront expressément identifiés par l’autre partie comme étant confidentiels. S’agissant de CITYGEM, les parties conviennent d’ores et déjà expressément que cette obligation de confidentialité couvre les données à caractère personnel que CITYGEM sera amené à traiter pour l’Utilisateur dans le cadre des Services. L’ensemble de ces informations est désigné ci-après les « Informations Confidentielles ».

La partie qui reçoit des Informations Confidentielles s’engage à ne pas les divulguer sans accord préalable de l’autre partie, pendant une durée de cinq (5) ans à compter de la fin de l’exécution des Services concernés. Elle ne pourra les transmettre à des employés, collaborateurs, stagiaires ou conseils que s’ils sont tenus à la même obligation de confidentialité que celle prévue aux présentes.

Cette obligation ne s’étend pas aux documents, éléments, données et informations :

(i) dont la partie qui les reçoit avait déjà connaissance ;

(ii) déjà publics lors de leur communication ou qui le deviendraient sans violation des présentes conditions générales ;

(iii) qui auraient été reçus d’un tiers de manière licite ;

(iv) dont la communication serait exigée par les autorités judiciaires, en application des lois et règlements ou en vue d’établir les droits d’une partie au titre des présentes conditions générales.

17. PUBLICITÉ

CITYGEM se réserve la faculté d’insérer sur toute page de l’Application et dans toute communication aux Utilisateurs tous messages publicitaires ou promotionnels sous une forme et dans des conditions dont CITYGEM sera seule juge.

18. LIENS ET SITES TIERS

CITYGEM ne pourra en aucun cas être tenue pour responsable de la disponibilité technique de sites internet ou d’applications mobiles exploités par des tiers (y compris ses éventuels partenaires) auxquels l’Utilisateur accéderait par l’intermédiaire de l’Application.

CITYGEM n’endosse aucune responsabilité au titre des contenus, publicités, produits et/ou services disponibles sur de tels sites et applications mobiles tiers dont il est rappelé qu’ils sont régis par leurs propres conditions d’utilisation.

CITYGEM n’est pas non plus responsable des transactions intervenues entre l’Utilisateur et un quelconque annonceur, professionnel ou commerçant (y compris ses éventuels partenaires) vers lequel l’Utilisateur serait orienté par l’intermédiaire de l’Application et ne saurait en aucun cas être partie à quelques litiges éventuels que ce soit avec ces tiers concernant notamment la livraison de produits et/ou services, les garanties, déclarations et autres obligations quelconques auxquelles ces tiers sont tenus.

19. RÉFÉRENCES COMMERCIALES

L’Utilisateur autorise expressément CITYGEM à le citer et à utiliser le cas échéant la reproduction de sa marque ou de son logo à titre de références commerciales, notamment lors de manifestations ou d’événements, dans ses documents commerciaux et sur son site internet, sous quelque forme que ce soit.

20. DURÉE DES SERVICES, DÉSINSCRIPTION

Les Services sont souscrits pour une durée indéterminée.

L’Utilisateur peut se désinscrire des Services à tout moment, en adressant une demande à cet effet à CITYGEM par email, aux coordonnées mentionnées à l’article « Exploitant de l’Application et des Services, contact ».

La désinscription est effective dans un délai de 48h ouvrables à compter de cette demande. Elle entraîne la suppression automatique du Compte de l’Utilisateur.

21. MODIFICATIONS

CITYGEM se réserve la faculté de modifier à tout moment les présentes conditions générales.

L’Utilisateur sera informé de ces modifications par tout moyen utile.

L’Utilisateur qui n’accepte pas les conditions générales modifiées doit se désinscrire des Services selon les modalités prévues à l’article « Durée des Services, désinscription ».

Tout Utilisateur qui a recours aux Services postérieurement à l’entrée en vigueur des conditions générales modifiées est réputé avoir accepté ces modifications.

22. LANGUE

Dans l’hypothèse d’une traduction des présentes conditions générales dans une ou plusieurs langues, la langue d’interprétation sera la langue française en cas de contradiction ou de contestation sur la signification d’un terme ou d’une disposition.

23. MÉDIATION

L’Utilisateur dispose du droit de recourir gratuitement à un médiateur de la consommation en vue de la résolution amiable de tout litige portant sur l’exécution des présentes qui l’opposerait à CITYGEM, dans les conditions prévues aux articles L611-1 et suivants et R152-1 et suivants du Code de la consommation.

24. LOI APPLICABLE ET JURIDICTION

Les présentes conditions générales sont régies par la loi française.

En cas de contestation sur la validité́, l’interprétation et/ou l’exécution des présentes conditions générales, les parties conviennent que les tribunaux de Paris seront exclusivement compétents pour en juger, sauf règles de procédure impératives contraires.

1. PURPOSE

The “CityGem” application (hereinafter referred to as the “Application”) offers its users (hereinafter referred to as the “Users”) routes (hereinafter referred to collectively as the “Routes”) within specific cities or locations around the world.
The purpose of these terms and conditions is to define the terms and conditions of use of the services offered on the Application (hereinafter: the “Services”) and to define the rights and obligations of the parties in this context.
They are accessible and printable at any time via a direct link at the bottom of the Application page.
They may be supplemented, where applicable, by specific terms of use for certain Services, which supplement these general terms and conditions and, in the event of contradiction, take precedence over them.

2. OPERATOR OF THE APPLICATION AND SERVICES, CONTACT

The Application and Services are operated by CITYGEM, a société par actions simplifiée (simplified joint stock company), registered in the Orléans Trade and Companies Register under number 902 633 189, with its registered office at 1 Av Du Champ De Mars, 45074 Orleans Cedex 2 (hereinafter: “CITYGEM”).

3. ACCESS TO THE APPLICATION AND SERVICES

3.1 Legal capacity

The Application and Services are accessible :

– Any natural person with full legal capacity to enter into commitments under these terms and conditions. Individuals who do not have full legal capacity may only access the Application and Services with the consent of their legal representative.

– Any legal entity acting through a natural person who has the legal capacity to contract in the name and on behalf of the legal entity.

3.2. Site and Services reserved for private individuals

The Application and Services are intended exclusively for private individuals and are not intended for professional use, understood as any use directly or indirectly related to a remunerated activity carried out on a non-occasional basis in all sectors of industry and commerce.

4. ACCEPTANCE OF TERMS AND CONDITIONS

4.1 Acceptance of these terms and conditions by Users registering on the Application is evidenced by clicking on the I accept box when logging on to the Application for the first time.

For Users who are not registered on the Application, use of the Application and/or Services implies acceptance of these terms and conditions, without restriction or reservation.

4.2 Acceptance of these terms and conditions is full and complete. Any conditional acceptance is considered null and void. Users who do not agree to be bound by these terms and conditions must not access the Application or use the Services.

5. APPLICATION REGISTRATION

5.1. Use of the Services requires the User to register on the Application, by filling in the form provided for this purpose. The User must provide all information marked as mandatory. Any incomplete registration will not be validated.

Registration automatically leads to the opening of an account in the name of the User (hereinafter: the “Account”), giving him access to a personal space (hereinafter: the “Personal Space”) which enables him to manage his use of the Services in a form and according to the technical means that CITYGEM deems most appropriate to render said Services.

The User guarantees that all information given in the registration form is accurate, up to date and sincere and is not misleading.

He undertakes to update this information in his Personal Space in the event of any modifications, so that it always corresponds to the aforementioned criteria.

The User is hereby informed and accepts that the information entered for the purposes of creating or updating his/her Account shall constitute proof of his/her identity. The information entered by the User is binding upon validation.

5.2 The User may access his or her Personal Space at any time by entering his or her login and password.

The User undertakes to use the Services personally and not to allow any third party to use them in his place or on his behalf, unless he assumes full responsibility for doing so.

He is likewise responsible for maintaining the confidentiality of his login and password, any access to the Application using the latter being deemed to have been made by the User. The User must immediately contact CITYGEM using the details given in the article “Application and Services Operator, contact” if he notices that his Account has been used without his knowledge. He acknowledges CITYGEM’s right to take all appropriate measures in such a case.

6. DESCRIPTION OF SERVICES

The User has access to the following Services, in a form and according to the functionalities and technical means that CITYGEM deems most appropriate.

6.1. Route

The User has access to the routes offered on the Application.

The User will thus have access to the GPS route of the Route as well as geolocalised information on the Route known at the time of downloading (points of interest, descriptive content on these points of interest, photos, etc.).

The CITYGEM application will continue to retrieve the User’s position even if it is closed when the User has launched a route.

The User will be able to share his comments and appreciations on the routes via social networks and will be able to evaluate the route he has completed directly on the Application.

6.2. Content created by the User

The CITYGEM application provides the User with a function whereby he can propose to enrich the CITYGEM Application with content that he submits to CITYGEM (creation of a point of interest, addition of photos to a point of interest, addition of information concerning a point of interest and its sources etc.) (hereinafter referred to as “Suggested Content”).

Once the User has proposed a Suggested Content, the latter will be checked by CITYGEM which may, at its sole discretion and without having to justify any reason whatsoever, (i) refuse to put the Suggested Content online, (ii) modify the Suggested Content, (iii) put the Suggested Content online, with or without modification, restricting accessibility to a part of the users, to other Users and, (iv) put the Suggested Content online, with or without modification, without restriction of accessibility.

In this respect, the User undertakes to be the sole author of any photograph submitted to CITYGEM as Suggested Content. It is specified that in the event that CITYGEM puts the Suggested Content online without accessibility restrictions, the User can benefit from advantages within the CITYGEM Application.

By proposing the addition of Suggested Content, the User grants CITYGEM a copyright licence for this content under the conditions set out in article 14.2.

6.3. Other services

CITYGEM reserves the right to offer any other services it deems useful, in a form and according to the functionalities and technical means it deems most appropriate to provide said services.

7. COST OF SERVICES

In order to access features and functionalities marked as Premium (“Golden Crown”), users must pay a subscription fee. Subscription fees and associated taxes must be paid in advance on a monthly, annual or lifetime basis.

Lifetime” subscriptions are valid for content and features existing at the date of purchase. CityGem reserves the right to modify the price.

CityGem reserves the right to increase subscription fees or introduce new fees at any time upon reasonable notice.

7.1 Renewal

Subscription fees will be invoiced automatically at the beginning of the period. These fees will be renewed automatically until your subscription is cancelled or terminated. Your subscription fee will be the same as your initial fee, unless you are notified in advance.

7.2 Cancellation or termination

You may cancel your subscription at any time using the App Store or Google Play Store subscription process in your iOS or Android profile. Cancellation of a subscription will take effect at the end of your current billing cycle. At the end of your subscription, your account will revert to a free subscription. You can renew your subscription at any time without opening a new account, although subscription fees may have increased. You can delete your account at any time.

7.3 Free trials

Your subscription may begin with a free trial period. The free trial period of any subscription will last for the time specified when you signed up. Free trials cannot be combined with certain other offers, as indicated. If you begin your subscription with a free trial, we will begin charging subscription fees to your Payment Method at the end of the free trial period of your subscription, unless you cancel your subscription before the end of the free trial period. Your Payment Method will be authorized for a maximum of approximately one month’s service once you sign up for a free trial. In some cases, your available balance or credit limit may be reduced to reflect the authorization; however, no debit will be made to the Payment Method unless you do not cancel your subscription before the end of the free trial period. You can cancel your subscription at any time by going to your “account settings” page.

7.4 Payment methods

Subscriptions can be paid for directly via the App Store or Google Play Store.

If you have paid via the App Store or Google Play Store, you can change your payment method via the corresponding store account. No refunds or credits will be issued by CityGem other than as provided in these Terms. If your store determines that there are fraudulent charges to your account resulting from the use of your Payment Method to the Services, you will be refunded directly by the store.

8. EVIDENTIARY AGREEMENT

The User expressly acknowledges and agrees:

(i) that the data collected on the Application and CITYGEM’s IT equipment are proof of the reality of the operations carried out within the framework of the present agreement,

(ii) that these data constitute the principal means of proof accepted between the parties, notably for the calculation of sums due to CITYGEM. The User can access this data in his Personal Area.

9. OBLIGATIONS OF THE USER

Without prejudice to the other obligations set forth herein, the User undertakes to comply with the following obligations.

9.1. In using the Services, the User undertakes to comply with the laws and regulations in force, in particular the Highway Code, and not to infringe the rights of third parties or public order.

The user is solely responsible for complying with all administrative, fiscal and/or social formalities and for all payments of contributions, taxes or duties of any kind that may be required in connection with the use of the services. CITYGEM cannot be held liable in this respect.

9.2. The User acknowledges that he has taken note on the Applications of the characteristics and constraints, particularly technical, of all the Services. He is solely responsible for his use of the Services.

9.3. The User also undertakes to :

– use the Application with care and discretion. The User is solely responsible for his/her own safety when following a Route. When using a vehicle, to comply with all applicable traffic regulations, in particular those concerning the use of headphones and earphones.

-when travelling on foot, it is recommended́ to always use sidewalks or areas accessible to pedestrians, and not streets or roads used by motorized vehicles, even when the Application indicates such a route;

– not to endanger themselves or others, and to be aware of the various risks associated with pedestrian or vehicular traffic in an urban environment;

– ensure that they are physically fit to complete the route;

– not to make any professional or commercial use of the Application and/or its contents;

– not to provide false information when registering;

– to inform CITYGEM of any errors of which they are aware, as well as any comments relating to the Routes, with a view to updating the Routes and/or improving the Application.

9.4. The User undertakes to make strictly personal use of the Services. Consequently, he/she may not assign, concede or transfer all or part of his/her rights or obligations hereunder to a third party, in any manner whatsoever.

The User acknowledges that due to unforeseeable events outside of CITYGEM’s control (road accidents, road works, weather conditions, damage, etc.), the information and data contained in the Application may prove to be inaccurate or obsolete and that the accessibility conditions of the Routes may change due to the said events. CITYGEM does not guarantee, under any circumstances, the protection of the User against all dangers associated with the urban environment. CITYGEM cannot be held liable in the event of an accident occurring on the proposed routes.

9.5. Information relating to the estimated duration and time remaining on the Route cannot be accurately calculated as it necessarily depends on the User’s behaviour. Given these constraints, the User acknowledges that the data and information provided by CITYGEM as part of the Application are for information only and accepts that CITYGEM cannot be held responsible for the inaccuracy or imprecision of certain data or information.

9.6. The Application is an orientation and exercise aid, but can in no way replace the judgement of the User, who, depending on the actual context, must decide for himself whether or not to follow the recommendations, the route suggested by the Application and/or the equipment recommended. CITYGEM has no control over the User’s behaviour and cannot therefore be held liable in this respect.

9.7. The User declares that he/she understands the limitations of the GPS system. Transmissions and receptions may be limited by :

– the operation of satellite systems and ground stations ;

– the operation of the User’s smartphone;

-weather and atmospheric conditions, environmental and magnetic interference;

– the quality of the smartphone and/or its GPS functionality.

The User acknowledges that the GPS signal is accurate to plus or minus 10 (ten) meters and that it is his/her responsibility to assess the consequences and possible risks of this technical constraint.

The CityGem application will continue to retrieve the User’s position even if it is closed when the User has launched a route.

9.8. The User undertakes to provide CITYGEM with all information necessary for the proper execution of the Services. More generally, the User undertakes to cooperate actively with CITYGEM for the proper execution of these terms and conditions.

9.9. The User is solely responsible for the content of any kind (editorial, graphic, audio, audiovisual or other, including the name chosen by the User to identify him on the Application) that he distributes as part of the Services (hereinafter referred to as: the “Content”).

He guarantees CITYGEM that he has all the necessary rights and authorisations to distribute this Content.

The User undertakes to ensure that the said Content is lawful, does not infringe public order, morality or the rights of third parties, does not infringe any legislative or regulatory provision and, more generally, is in no way likely to incur the civil or criminal liability of CITYGEM.

The User thus refrains from disseminating, in particular and without this list being exhaustive :

– Content that is pornographic, obscene, indecent, shocking or unsuitable for a family audience, defamatory, insulting, violent, racist, xenophobic, homophobic, revisionist or inciting to hatred,

– infringing Content,

– Content that impugns the image of a third party,

– misleading or deceptive Content or Content proposing or promoting illicit, fraudulent or deceptive activities or terrorist activities,

– Content harmful to the computer systems of third parties (such as viruses, worms, Trojan horses, etc.),

– and more generally Content likely to infringe the rights of third parties or to be prejudicial to third parties, in any manner or form whatsoever.

9.10. The User acknowledges that the Services offer an additional, non-alternative solution for creating a tour, and that this solution is not a substitute for any other means the User may have at his disposal to achieve the same objective.

9.11. The User is hereby informed and accepts that in order to use the Services, he/she must be connected to the Internet or to a mobile telecom operator’s network, and that the quality of the Services depends directly on this connection, for which he/she is solely responsible.

10. USER WARRANTY

The User guarantees CITYGEM against any complaints, claims, actions and/or demands that CITYGEM may suffer as a result of the User’s breach of any of his obligations or guarantees under the terms of these general conditions.

The User undertakes to compensate CITYGEM for any prejudice it may suffer and to reimburse CITYGEM for all costs, charges, transactional indemnities and/or condemnations it may have to bear as a result.

In particular and with the exception of descriptive texts of points of interest submitted by the User as Suggested Content, the source of which he has communicated to CITYGEM, the User guarantees that he holds all necessary and sufficient rights and authorisations on the Suggested Content to grant CITYGEM the licence provided for in article 14.2 below and that, more generally, the Suggested Content is lawful and does not infringe any third party rights. He thus undertakes to compensate CITYGEM in the event of a breach of the aforementioned guarantee, under the conditions set out above.

11. PROHIBITED BEHAVIOUR

11.1 It is strictly forbidden to use the Services for the following purposes :

– carrying out illegal, fraudulent activities or activities that infringe the rights or safety of third parties,

– undermining public order or violating applicable laws and regulations,

– intrusion into a third party’s computer system or any activity likely to harm, control, interfere with or intercept all or part of a third party’s computer system, or violate its integrity or security,

– sending unsolicited e-mails and/or commercial prospecting or solicitation,

– manipulations intended to improve the referencing of a third-party site,

– use of the Application to disseminate information or links redirecting to a third-party site,

– aiding or inciting, in any form and in any manner whatsoever, one or more of the acts and activities described above,

– and, more generally, any practice that misuses the Services for purposes other than those for which they were designed.

11.2 Users are strictly forbidden to copy and/or misappropriate for their own purposes or those of third parties the concept, technologies, all or part of the data, texts, voice recordings, photos, videos or any other element of the CITYGEM Application.

11.3 The following are also strictly prohibited:

(i) any behaviour likely to interrupt, suspend, slow down or prevent the continuity of the Services, (ii) any intrusions or attempted intrusions into CITYGEM’s systems, (iii) any misappropriation of the Application’s system resources, (iv) any actions likely to impose a disproportionate load on the latter’s infrastructures, (v) any infringement of security and authentication measures, (vi) any action likely to prejudice the financial, commercial or moral rights and interests of CITYGEM or the users of its Application, and more generally (vii) any breach of these general terms and conditions.

11.4 It is strictly forbidden to monetize, sell or grant all or part of the access to the Services or the Application, as well as the information hosted and/or shared therein.

12. PENALTIES FOR BREACHES

In the event of a breach of any of the provisions of these general terms and conditions or, more generally, an infringement of the laws and regulations in force by a User, CITYGEM reserves the right to take any appropriate measure and in particular to :

(i) suspend or remove access to the Services of the User who has committed or participated in the breach or infringement,

(ii) delete any content posted on the Application,

(iii) publish on the Application any information message that CITYGEM deems useful,

(iv) notify any relevant authority,

(v) take any legal action.

13. CITYGEM’S LIABILITY AND WARRANTY

13.1. CITYGEM undertakes to provide the Services diligently and in accordance with the state of the art, it being specified that it has an obligation of means, to the exclusion of any obligation of result, which the Users expressly acknowledge and accept.

13.2 CITYGEM has no knowledge of the Content put online by Users as part of the Services, on which it does not carry out any moderation, selection, verification or control of any kind and with regard to which it only acts as a hosting provider.

Consequently, CITYGEM cannot be held responsible for Content, the authors of which are third parties, and any claim must be directed in the first instance to the author of the Content in question.

Content harmful to a third party may be notified to CITYGEM in accordance with article 6 I 5 of law n°2004-575 of 21st June 2004 for confidence in the digital economy, CITYGEM reserving the right to take the measures described in article “Sanctions for breaches”.

13.3 CITYGEM declines all responsibility in the event of any loss of information accessible in the User’s Personal Space, as the User must save a copy and cannot claim any compensation for this.

13.4. CITYGEM undertakes to carry out regular checks to verify the operation and accessibility of the Application. In this respect, CITYGEM reserves the right to temporarily interrupt access to the Application for maintenance reasons. CITYGEM cannot be held responsible for temporary difficulties or impossibilities in accessing the Application due to circumstances beyond its control, force majeure, or due to disruptions in telecommunications networks.

13.5. CITYGEM does not guarantee Users (i) that the Services, which are subject to constant research to improve their performance and progress, will be totally free from errors, defects or faults, (ii) that the Services, being standard and in no way offered solely to a given User according to his own personal constraints, will specifically meet his needs and expectations.

13.6. In any event, the liability that may be incurred by CITYGEM hereunder is expressly limited to proven direct damage suffered by the User.

14. INTELLECTUAL PROPERTY RIGHTS

14.1 The systems, software, structures, infrastructures, databases and content of all kinds (texts, images, visuals, music, voice recordings, logos, brands, databases, etc.) used by CITYGEM within the Application are protected by all intellectual property rights or database producers’ rights in force. All disassembly, decompilation, decryption, extraction, reuse, copying and more generally, all acts of reproduction, representation, distribution and use of any of these elements, in whole or in part, without the authorisation of CITYGEM are strictly forbidden and may be subject to legal proceedings.

14.2 By submitting Suggested Content via the functionality described in article 6. 2 and subject to its acceptance by CITYGEM, the User grants CITYGEM an irrevocable, definitive, non-exclusive, transferable and sub-licensable licence to the copyrights relating to this content and set out below, for the entire world and for the entire duration of protection that the law applicable to each of the territories grants to the Suggested Content, it being specified, for all intents and purposes, that the deletion of the User’s account on the Citygem Application will not cause the licence granted under this article to cease.

It is specified that the copyrights thus transferred to CITYGEM include in particular the rights to :

– reproduce, on a temporary and/or permanent basis and for any purpose including loading, digitising, saving, displaying, executing, transmitting or storing, the right to duplicate, print, record and fix all or part of the Suggested Content;

– establish any version, in French and foreign languages, and in any computer language, of all or part of the Suggested Content;

– translate, arrange, layout, modify, adapt and transform all or part of the Suggested Content, as well as reproduce the resulting creation;

– integrate all or part of the Suggested Content into any second production;

– publish, edit, distribute, sell, rent free of charge or for a fee and give away all or part of the Suggested Content;

– correct, develop, adapt and transcribe all or part of the Suggested Content;

– test, analyze, decompile and interface all or part of the Suggested Content; and

– represent, execute, project and broadcast all or part of the Suggested Content, and communicate it to the public, synchronously or asynchronously, to any type of audience, including the general public.

The rights assigned to CITYGEM cover all known and as yet unknown media, and in particular :

– all paper media (including books, travel guides, maps, stationery, advertising media, etc.), film, magnetic tape, optical, biological, mineral, analog or digital media (including computers, tablets, cell phones, smartphones, servers, disks, memory cards, USB sticks or other storage media, on-site or remote servers, etc.);

– all digital media, and in particular all websites, social networks, intranets or extranets, platforms, software, mobile applications, web pages or similar, text processing, presentation or reading files;

– all broadcasting processes (and in particular all terrestrial, satellite, cable, broadcasting, fiber optic, voice, audiovisual, radio, terrestrial, internet, content sharing or hosting platforms, television, streaming, etc.).

The rights ceded to CITYGEM concern all possible uses of the Suggested Content, whether in return for payment or free of charge, commercial, promotional, advertising or charitable.

The User acknowledges and accepts that the present licence of his copyrights will not be subject to any financial consideration, the consideration for this cession residing, for the User, in (i) the fact of being able to benefit from the improvement of the content of the CITYGEM Application and, if applicable, (ii) in the fact of being eligible to obtain advantages, within the CITYGEM Application.

15. PERSONAL DATA

CITYGEM operates a personal data protection policy, the characteristics of which are set out in the document entitled “Personal data protection charter”, which the User is expressly invited to read.

16. CONFIDENTIALITY

Each party undertakes to keep strictly confidential the documents, elements, data and information of the other party which it receives and which are expressly identified by the other party as being confidential. As far as CITYGEM is concerned, the parties expressly agree that this confidentiality obligation covers the personal data that CITYGEM will process for the User as part of the Services. All this information is hereinafter referred to as “Confidential Information”.

The party receiving Confidential Information undertakes not to disclose it without the prior agreement of the other party, for a period of five (5) years from the end of the performance of the Services concerned. It may not pass them on to employees, collaborators, trainees or consultants unless they are bound by the same obligation of confidentiality as that set out herein.

This obligation does not extend to documents, elements, data and information:

(i) of which the party receiving them already had knowledge ;

(ii) which are already public at the time of their communication or which would become public without breach of these terms and conditions;

(iii) which would have been lawfully received from a third party;

(iv) the communication of which would be required by judicial authorities, in application of laws and regulations or in order to establish a party’s rights under these general terms and conditions.

17. ADVERTISING

CITYGEM reserves the right to insert on any page of the Application and in any communication to Users any advertising or promotional messages in a form and under conditions to be determined by CITYGEM alone.

18. LINKS AND THIRD PARTY SITES

CITYGEM can under no circumstances be held responsible for the technical availability of websites or mobile applications operated by third parties (including any partners) to which the User may have access via the Application.

CITYGEM accepts no responsibility for the content, advertising, products and/or services available on such third-party websites and mobile applications, which are governed by their own terms of use.

CITYGEM is also not responsible for transactions between the User and any advertiser, professional or merchant (including any of its partners) to which the User is directed via the Application and will not under any circumstances be a party to any disputes with these third parties concerning the delivery of products and/or services, guarantees, declarations and any other obligations to which these third parties are bound.

19. COMMERCIAL REFERENCES

The User expressly authorises CITYGEM to quote the User and, where applicable, to use the reproduction of the User’s brand or logo as a commercial reference, notably at events, in its commercial documents and on its website, in any form whatsoever.

20. DURATION OF SERVICES, DEREGISTRATION

The Services are subscribed to for an indefinite period.

The User may unsubscribe from the Services at any time, by sending a request to this effect to CITYGEM by email, using the contact details mentioned in the article “Application and Services Operator, contact”.

Unsubscription is effective within 48 working hours of this request. It leads to the automatic deletion of the User’s Account.

21. MODIFICATIONS

CITYGEM reserves the right to modify these general terms and conditions at any time.

The User will be informed of these modifications by any useful means.

The User who does not accept the modified general conditions must unsubscribe from the Services in accordance with the terms set out in the article “Duration of Services, unsubscription”.

Any User who uses the Services after the entry into force of the modified general terms and conditions is deemed to have accepted these modifications.

22. LANGUAGE

In the event of a translation of these general terms and conditions into one or more languages, the language of interpretation shall be the French language in the event of contradiction or dispute as to the meaning of a term or provision.

23. MEDIATION

The User has the right to have recourse, free of charge, to a consumer mediator for the amicable resolution of any dispute with CITYGEM concerning the performance of the present contract, under the conditions set out in articles L611-1 et seq. and R152-1 et seq. of the French Consumer Code.

24. APPLICABLE LAW AND JURISDICTION

These terms and conditions are governed by French law.

In the event of any dispute concerning the validitý, interpretation and/or performance of these general terms and conditions, the parties agree that the courts of Paris shall have exclusive jurisdiction to rule thereon, except in the event of imperative procedural rules to the contrary
